General terms and conditions of sale and use of the Hexacore website

Article 1 - Purpose

These general terms and conditions of sale (GTC) govern the contractual relationships between Hexacore and its clients in the context of providing electronic engineering services.

They apply to all services offered by Hexacore, including: electronic design, firmware development, prototyping, and series production.

Article 2 - Quotation and Acceptance

Every project is subject to a detailed quotation prepared by Hexacore, specifying:

  • The exact nature of the services
  • Delivery timelines
  • Price excluding and including VAT
  • Payment terms
  • Intellectual property conditions

The quotation is valid for 30 calendar days. Acceptance of the quotation by the client constitutes a firm order.

Article 3 - Pricing and Payment

Pricing

Prices are expressed in euros, excluding taxes. The applicable VAT is that in effect at the time of invoicing.

Payment Terms

  • 30% upon order
  • 40% at project midpoint
  • 30% upon final delivery

Late Payment

Any late payment will result in the application of late payment interest at the legal rate plus 3 percentage points, as well as a fixed compensation of 40 EUR for recovery costs.

Article 4 - Delivery Timelines

Delivery timelines are indicative and begin from receipt of all information necessary for the proper execution of the project.

In case of delay attributable to Hexacore, the client may claim damages. In case of delay attributable to the client, timelines will be automatically extended.

Article 5 - Intellectual Property

Client Rights

Once full payment is made, the client becomes the owner of the hardware and software deliverables specifically developed for their project.

Hexacore Rights

Hexacore retains intellectual property rights over the methods, tools, and generic components used in the project.

Confidentiality

Each party agrees to maintain the confidentiality of technical and commercial information exchanged during the project and for 5 years after its completion.

Article 6 - Warranty and Liability

Warranty

Hexacore guarantees that services are performed with care and professional competence. In case of defect, Hexacore undertakes to correct anomalies free of charge within a reasonable timeframe.

Limitation of Liability

Hexacore's liability is limited to the pre-tax amount of the project. Hexacore cannot be held liable for indirect damages or loss of business.

Article 7 - Termination

In case of serious breach by one of the parties of its obligations, the other party may terminate the contract by registered letter with acknowledgment of receipt.

In case of termination attributable to the client, the latter must pay for services rendered and costs incurred by Hexacore.

Article 8 - Applicable Law and Jurisdiction

These GTC are subject to French law. Any dispute relating to their interpretation or execution will be under the exclusive jurisdiction of the Paris courts.

Article 9 - Modifications

Hexacore reserves the right to modify these GTC at any time. Modifications will apply to orders placed after their publication.
